Terms of Service

1. Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of the Codera platform, website at codera.io, and related services (collectively, the "Service") operated by Geek Inc. ("Geek Inc.", "we", "us", or "our"). Codera is a product of Geek Inc. (geekinc.ca).
By creating an account or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms. If you do not agree, do not use the Service.
2. Description of the Service
Codera is a SaaS platform that converts N8N visual workflow automations into production-grade, event-driven serverless infrastructure deployed to your own Amazon Web Services (AWS) account. The Service consists of:
- Control Plane: the Codera-managed infrastructure that provides the web application, API, workflow conversion engine, deployment orchestration, and execution monitoring dashboard.
- Data Plane: the AWS infrastructure deployed to your own AWS account, including Lambda functions, SQS queues, DynamoDB tables, and other resources created by the Service.
3. Account Registration
- You must provide accurate and complete information when creating an account.
- You are responsible for maintaining the confidentiality of your account credentials.
- You are responsible for all activity that occurs under your account.
- You must notify us immediately at security@codera.io if you suspect unauthorised access to your account.
- You must be at least 16 years of age to use the Service.
4. Subscription Plans and Billing
4.1 Plans
The Service is offered under tiered subscription plans (Free, Starter, Pro, and Enterprise), each with defined feature sets, workflow limits, and execution quotas. Current plan details are available on our Pricing page.
4.2 Payment
Paid subscriptions are billed in advance on a monthly or annual basis through Stripe. Payments are processed by Geek Inc. and will appear on your billing statement as Geek Inc. or Codera. You authorise us to charge your payment method for the applicable subscription fees. All fees are stated in US dollars unless otherwise specified.
4.3 AWS Costs
You are solely responsible for all AWS infrastructure costs incurred by resources deployed to your AWS account through the Service. These costs are billed directly by AWS and are separate from your Codera subscription fees. Codera does not add any surcharge or markup to your AWS costs.
4.4 Renewals and Cancellation
Subscriptions renew automatically at the end of each billing cycle. You may cancel your subscription at any time through the platform dashboard. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.
4.5 Overages and Limits
If you exceed the workflow or execution limits of your plan, we may throttle or suspend deployments until the next billing cycle or until you upgrade your plan. We will provide reasonable notice before any suspension.
5. Your Responsibilities
You agree to:
- Use the Service in compliance with all applicable laws and regulations.
- Maintain appropriate security configurations on your AWS account, including IAM policies and access controls.
- Ensure that workflows deployed through the Service do not violate any third-party rights or applicable laws.
- Not use the Service for any illegal, harmful, or abusive purpose.
- Not attempt to reverse-engineer, decompile, or disassemble any part of the Service.
- Not interfere with or disrupt the Service or its infrastructure.
- Not use the Service to transmit malware, spam, or other harmful content.
- Not exceed the rate limits or usage quotas of your subscription plan through automated or programmatic means.
6. Data Ownership and Privacy
6.1 Your Data
You retain all ownership rights to your workflow definitions, credentials, execution data, and any other content you provide to or generate through the Service ("Your Data"). Workflow payloads and credential values reside exclusively in your AWS account and are under your sole control.
6.2 Licence to Us
You grant us a limited, non-exclusive licence to access and use Your Data solely to the extent necessary to provide, maintain, and improve the Service. This includes processing workflow definitions for conversion and receiving execution metadata for dashboard display.
6.3 Privacy
Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
7. Intellectual Property
The Service, including its software, design, documentation, trademarks, and all related intellectual property, is owned by Geek Inc. and is protected by applicable intellectual property laws. "Codera" is a trademark of Geek Inc. These Terms do not grant you any right, title, or interest in the Service beyond the limited right to use it in accordance with these Terms.
8. AWS Account Access
To deploy workflows, you grant Codera cross-account access to your AWS account through an IAM trust policy with scoped permissions. You acknowledge that:
- The access is limited to the minimum permissions required for deployment and telemetry.
- You may revoke this access at any time by modifying the IAM trust policy in your AWS account.
- Revoking access will prevent Codera from deploying, updating, or monitoring workflows in your account.
- You are responsible for reviewing and understanding the IAM permissions granted.
9. Service Availability
We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. We may temporarily suspend the Service for maintenance, updates, or security reasons. We will provide reasonable advance notice of planned maintenance where possible.
The availability and performance of resources deployed to your AWS account are subject to AWS's own service level agreements and are outside our direct control.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GEEK INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
THIS LIMITATION APPLIES REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
12. Indemnification
You agree to indemnify, defend, and hold harmless Geek Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:
- Your use of the Service.
- Your violation of these Terms.
- Your violation of any applicable law or regulation.
- The content or operation of workflows you deploy through the Service.
- Any third-party claims related to resources deployed in your AWS account.
13. Termination
We may suspend or terminate your access to the Service at any time if you breach these Terms or if required by law. Upon termination:
- Your right to use the Service ceases immediately.
- We will not delete resources already deployed to your AWS account — those remain under your control.
- We may delete your account data from the control plane within 30 days of termination.
- Outstanding payment obligations survive termination.
You may terminate your account at any time through the platform dashboard or by contacting us at support@codera.io.
14. Changes to These Terms
We may modify these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Effective Date" above. For significant changes, we will provide at least 30 days' notice via email or an in-app notification. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms.
15. General Provisions
15.1 Governing Law
These Terms are governed by and construed in accordance with the laws of the jurisdiction in which Codera is incorporated, without regard to conflict of law principles.
15.2 Dispute Resolution
Any disputes arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the applicable arbitration association in our jurisdiction.
15.3 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
15.4 Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Geek Inc. regarding the Service and supersede all prior agreements and understandings.
15.5 Waiver
Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
15.6 Assignment
You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
